01What Pennsylvania requires instead

Pennsylvania's rule is in 15 Pa.C.S. § 8825[2].

Pennsylvania does not require a registered agent. Every LLC keeps a registered office instead: an actual street address in Pennsylvania, or a Commercial Registered Office Provider named in its place by a company without a Pennsylvania address.

Owners can list their own Pennsylvania street address as the registered office. A company without a Pennsylvania address can name a Commercial Registered Office Provider instead.

02Agent service prices in Pennsylvania

Using your own Pennsylvania address costs nothing beyond the state's filing fees. Mainstay Filing charges $149 a year, and the same at renewal[1]; that covers its Pennsylvania address on the public record, same-day scans of papers served, compliance reminders and the first three government mailings a year.

Other services' prices for Pennsylvania were read from their own pages on October 20, 2026, 7 in all. Year one cost $89 to $596 and renewal $89 to $596. One of the 7 charges more from the second year on.

03Changing a Pennsylvania registered office

Pennsylvania charges $5 for this change[3]. The document is the Statement of Change of Registered Office[4].

  1. Choose the new registered office address, or a Commercial Registered Office Provider.
  2. Submit the Statement of Change of Registered Office to the Pennsylvania Department of State, Bureau of Corporations and Charitable Organizations.
  3. Pay the $5 state fee.
  4. Once the Pennsylvania Secretary of State processes it, confirm the company's record shows the new registered office.

The 50-state median for this filing is $15. For Pennsylvania's $5, 10 states charge less and 35 charge more.

Mainstay Filing prepares and files the Statement of Change of Registered Office for its Pennsylvania agent customers, passing the $5 state fee through at cost[1].

04The registered office

This part of the Pennsylvania rule trips up home-based owners. The address has to be an actual street address or rural route box number in Pennsylvania. A P.O. box alone is not accepted.[2]

Whatever address is used ends up in the Pennsylvania Secretary of State business records, which anyone can search.

A registered office has to stay on record for as long as the company exists. By the Bureau of Labor Statistics' count, 57.1% of business locations that opened in Pennsylvania between April 2019 and March 2020 were still operating in March 2025.
